2. Client Responsibilities

You agree to:

• Provide accurate and complete information necessary for us to deliver services
• Respond in a timely manner to requests for approvals, content, or decisions
• Maintain the necessary rights for all content (images, text, code) you provide
• Make payments according to the agreed schedule

3. Payment Terms

All project costs will be detailed in a written estimate or invoice. Payment terms may include upfront deposits, milestone payments, or payment upon completion, depending on the scope. Late payments may incur a fee or delay service delivery.

4. Intellectual Property

• You retain ownership of all content you provide.
• Unless otherwise agreed, Brainless Genius retains ownership of custom code and design elements until full payment is received.
• Upon full payment, ownership rights for commissioned work transfer to the client, excluding any open-source or third-party components.

5. Revisions and Changes

Reasonable revisions are included within the scope of each project. Additional changes outside the original scope may incur extra charges and extend timelines.

6. Confidentiality

We agree to keep your confidential information private and secure. You agree to the same regarding our proprietary processes, pricing, and internal documentation.

7. Warranties and Disclaimers

Brainless Genius will make reasonable efforts to deliver high-quality, functional digital products. However, we do not guarantee that the services will be error-free or uninterrupted. All services are provided "as is" without warranties of any kind, express or implied.

8. Limitation of Liability

To the fullest extent permitted by law, Brainless Genius shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to the services provided.

9. Termination

Either party may terminate the agreement with written notice if the other party breaches a material term of this agreement and fails to cure within 14 days of notification. Upon termination, you agree to pay for all work completed up to that point.

10. Third-Party Services

Some services may rely on third-party platforms or tools (e.g., hosting providers, CMS platforms). Brainless Genius is not responsible for interruptions or issues caused by these third-party services.

11. Governing Law

These Terms are governed by the laws of Pennsylvania / United States of America. Any disputes shall be resolved in the courts of Pennsylvania.

12. Changes to These Terms

We reserve the right to update these Terms at any time. You will be notified of material changes via email or our website.
